changing the bylaws

    our association has 108 members and we want to change the wording in the by laws but we can't seem to get more than 30 people to show up at the annual meetings including proxy votes, we need a 75% majority to do this and a two thirds of the members to have a quorum, which is 36. what is the law when you can't make a quorum year after year?

    How is 2/3rds of 108 equal to 36?

    Anyway, it doesn't sound like your association is organized as a statutory road association, so it's your governing documents which will control how the association operates.

    Why do you think you have so much trouble achieving a quorum? Do you impress on the members the importance of attending or assigning a proxy? Do you make it easy for them to assign their proxy, perhaps to the association Secretary or other official?  If many of your members are seasonal residents, are you scheduling your meetings during a time when the maximum number of members will be present?

    How do you manage to adopt a budget or elect officers from year to year if you are unable to achieve a quorum?

    When you finally are able to get a quorum, I suggest the first order of business should be to set your quorum to the number of members present at any meeting.

    Our association elected to not have a quorum. Our votes are all the majority of those present and voting. A quorum rule only causes the problems you are dealing with. In our association if you're not interested enough to show up you don't have a vote, unless you present a proxy ahead of the meeting.

    I would seek to change your bylaws so that you can avoid the problem you cite.
